Nurlock Terms and Conditions Policy
General Policy Notes:
This policy is one of several Nurlock policies referenced in the Nurlock Authorized Dealer Agreement. The Nurlock Authorized Dealer Agreement governs the application of this and other policies, and both documents should be considered together. In the event of any conflict between the terms in the Dealer Agreement and this Policy, the Policy will take precedence. "Dealer" refers to any Nurlock Authorized Dealer.
This agreement is effective as of November 1st, 2024.
1.) Product Purchasing
-
Purchase orders for Nurlock products must be submitted by the Dealer via email to support@nurlock.com.
- Payment terms are outlined in the Dealer’s Authorization Approval documentation and are subject to change with prior notice.
- Late payments may incur an interest charge of one percent (1%) per month on any overdue amount.
- Failure to pay in full by the due date is considered a breach of this agreement and may lead to modified payment terms or restrictions on future orders. Dealers may submit purchase orders using their own standard forms, but any additional terms beyond the contents of the order itself are considered null and will be void.
- All purchase orders will be processed as efficiently as possible, and in-stock products will be shipped within a reasonable time frame. In cases where Nurlock products are out of stock, the Dealer will be notified, and items may either be canceled, placed on backorder, or shipped separately. Nurlock will communicate promptly and effectively in the event of stock shortages or delays.
- Nurlock generally does not offer "dropshipping" services. However, on a case-by-case basis, Nurlock may agree to ship products to a location other than the Dealer’s primary business address. Additional fees may apply for such services and will be agreed upon before shipping.
- All shipments will be made from Nurlock’s warehouse, and the risk of loss will transfer to the Dealer once the products are delivered to the shipping carrier. The Dealer is responsible for any claims related to shipping damage and will be required to handle such claims directly with the carrier.
2.) Dealer Requirements
- The Dealer agrees to maintain a professional retail location or shop at the address listed in the Nurlock Authorized Dealer Application or another approved location. Nurlock reserves the right to inspect the Dealer’s facility at any time, with or without notice, to ensure compliance with the Nurlock Authorized Dealer Agreement.
- The Dealer may provide installation services for Nurlock products to customers. The Dealer accepts full responsibility for all installations and agrees that all work will be performed in a professional and competent manner. The Dealer further agrees to indemnify and hold Nurlock harmless from any claims, damages, or legal actions (including reasonable attorney’s fees) arising from any installation services provided. Nurlock will cooperate with the Dealer, at the Dealer’s expense, in handling any such matters, provided Nurlock is given prompt notice of any claims.
